Terms of Service.
The house rules, in full.
Last updated 3 November 2026
- Your Statement of Work sets the scope, timeline and fees. Where it differs from these terms, it wins.
- Once a milestone is paid in full, the final work is yours. Our own tools and libraries stay ours, licensed to you.
- You get 5 to 7 business days to review each milestone. Work counts as accepted when you approve it, or the window closes without major changes asked for.
- We may show non-confidential work in our portfolio, with a small credit link unless agreed otherwise in writing.
A plain summary, for convenience. The full text below is what applies.
Agreement Overview
These Terms of Service (the "Terms") govern your engagement with Devscook ("we", "us", or "our") for design, development, and related consulting services. By executing a Statement of Work ("SOW"), proposal, estimate, or by using our services, you agree to be bound by these Terms. The SOW sets forth the specific scope, deliverables, timeline, fees, and assumptions applicable to your project. If there is a conflict between these Terms and an SOW, the SOW controls for that project.
We operate as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship. Each party is responsible for its own taxes, insurance, and compliance obligations.
Service Terms
We deliver services described in the SOW, which may include product strategy, UX/UI design, frontend engineering, content modeling, CMS integration, performance optimization, QA, and deployment support. Unless explicitly stated otherwise, hosting, domain management, third‑party subscriptions, paid assets, and content creation are excluded and remain the client’s responsibility.
- Project schedules depend on timely feedback, approvals, and inputs.
- Meetings, workshops, and reviews will be coordinated within working hours.
- Security, accessibility, and SEO are implemented to the level agreed in the SOW.
Cancellation and Renewal Policy
Either party may cancel before production begins without further obligation beyond non‑refundable deposits and committed third‑party costs. For retainers or ongoing services, the term and renewal cadence are set in the SOW. Either party may elect not to renew by giving written notice at least 14 days before the next billing cycle unless the SOW specifies another window.
If work is paused or cancelled after production commences, you agree to pay for work performed to date, including any non‑recoverable expenses and reasonable wind‑down costs.
Acceptance of Work
We will present deliverables for review at key milestones. Unless otherwise specified, you will have a reasonable review window (typically 5 to 7 business days) to provide consolidated, written feedback. Work is deemed accepted when you provide written approval or when the review window closes without material change requests.
Bug fixes address defects against approved scope; new features or changes outside the approved scope will be treated as change requests.
Intellectual Property Rights
Upon full and final payment for a milestone, we assign to you all right, title, and interest in the final, production‑ready deliverables specified in the SOW, excluding pre‑existing materials, open‑source components, licensed content, and our proprietary tools, libraries, and workflows (collectively, "Background IP"). Background IP remains our property, and we grant you a non‑exclusive, perpetual license to use it as embedded in the deliverables.
Ownership of Materials
We will provide source files and production assets as described in the SOW. Third‑party assets (e.g., stock photos, fonts, packages) are subject to their respective licenses. You are responsible for obtaining and maintaining necessary licenses unless the SOW states that we will procure them on your behalf.
Fees
Fees, milestones, billing cadence, and payment methods are stated in the SOW. Invoices are due upon receipt unless otherwise noted. Deposits and partial payments are non‑refundable once work begins. Late balances may incur fees and may trigger a work pause until payment is received.
Customer Responsibilities
You will designate a primary point of contact and provide timely access to accounts, content, assets, and stakeholders required to deliver the project. You represent that you have necessary rights to all content you supply and that such content does not infringe the rights of others or violate applicable laws or platform policies.
Prohibited Activities
You agree not to use the deliverables or our services for unlawful purposes; to violate third‑party rights; to introduce malicious code; or to circumvent licensing, attribution, or usage restrictions associated with any third‑party resources used in the project.
Feedback
You may provide ideas, suggestions, or feedback regarding our services. We may use this feedback without restriction or obligation to you, provided it does not disclose your confidential information.
Changes
Changes in scope will be assessed for impact on schedule and budget. We will proceed once changes are documented and approved in writing via a change order or updated SOW. We may update these Terms from time to time; material updates will be communicated, and continued use constitutes acceptance.
Interruptions
Access to environments or services may be interrupted for maintenance, security updates, platform outages, failures of third‑party providers, or circumstances beyond our control. We will use commercially reasonable efforts to minimize disruption and resume work promptly.
Governing Law
These Terms are governed by applicable local laws and relevant international principles, without regard to conflict of law rules. Venue and jurisdiction will be as stated in the SOW or, if not specified, the courts of our principal place of business.
Limitations of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, or consequential damages, nor for loss of profits, revenue, data, or business opportunities, arising out of or related to the services. Except for payment obligations and IP or confidentiality breaches, each party’s aggregate liability is limited to the amounts paid or payable under the applicable SOW in the 3 months preceding the event giving rise to the claim.
Indemnification
You will indemnify, defend, and hold harmless Devscook and its personnel from claims, damages, and expenses (including reasonable attorneys’ fees) arising from: (a) your materials or instructions; (b) your breach of these Terms or the SOW; or (c) your violation of law or third‑party rights. We will notify you promptly of any claim and reasonably cooperate at your expense.
Customer Data
We handle personal data in accordance with applicable privacy laws and our privacy practices. You are responsible for ensuring that any data you provide has been collected lawfully with appropriate notices and permissions. We may use anonymized, aggregated analytics to improve our processes and quality.
Electronic Delivery of Materials
Communications, approvals, and deliverables may be provided electronically via email, shared folders, or collaboration platforms. Electronic signatures and approvals are valid and binding.
Showcasing Work
We may showcase non‑confidential work, case studies, and testimonials in our portfolio and channels. Where a reasonable credit (e.g., a footer link) is standard, we may include it unless otherwise agreed in writing.
Termination
Either party may terminate for material breach if the breach is not cured within a reasonable period (typically 10 business days) after written notice. Upon termination, all fees for work performed and committed costs become immediately due, and any licenses granted to you for unpaid work automatically terminate.
